Seller Agreement

This Seller Agreement (“Agreement”) is entered into between you (the “Seller”) and OjaLink Technologies Ltd (“OjaLink”) and supplements the Terms of Service. It sets out the specific terms governing your use of OjaLink to list and sell products on Etsy, eBay, and other connected marketplaces. By activating your seller account, you agree to this Agreement.

1. Seller Eligibility and KYC

You must complete OjaLink's identity verification (KYC) process before you may connect a marketplace account or publish any listing. KYC requires submission of at least one valid government-issued identity document (national ID, passport, driver's licence, or CAC certificate for businesses). Approval is subject to OjaLink's review and is not guaranteed.

If your KYC is rejected, you will receive a reason and may resubmit. OjaLink reserves the right to request additional documentation at any time. Providing fraudulent documents will result in immediate permanent account ban and may be reported to relevant authorities.

2. Marketplace Account Ownership

You, the Seller, own your Etsy and eBay accounts. OjaLink connects to your marketplace account as an authorised third-party application via OAuth 2.0. OjaLink will never:

  • Create a marketplace account on your behalf.
  • Receive, hold, or disburse payments intended for you.
  • Access your marketplace account beyond the permissions you explicitly grant during OAuth authorisation.
  • Share your marketplace credentials or OAuth tokens with any third party.

Payments for sales on Etsy and eBay are made directly by those platforms into your own marketplace payment accounts. OjaLink has no role in this payment flow.

3. Listing Standards

As a Seller on OjaLink, you commit to maintaining the following listing standards:

3.1 Accuracy

  • Product titles, descriptions, prices, and images must accurately represent the item being sold.
  • Stock quantities must reflect genuine available inventory. Listing more stock than you actually have (“phantom inventory”) is prohibited.
  • Processing times must be achievable. You must be able to dispatch within the stated processing window.

3.2 Handmade and Original Products

  • Products listed as “handmade” must be genuinely made or designed by you or your team.
  • You must not list counterfeit, replica, or unauthorised branded goods.
  • You must have full rights to sell any item listed, including intellectual property rights for any designs or patterns used.

3.3 Prohibited Products

You must not list any of the following through OjaLink:

  • Counterfeit or trademark-infringing goods.
  • Items prohibited by Etsy's or eBay's Prohibited Items Policy.
  • Weapons, ammunition, or items intended to cause harm.
  • Controlled substances, prescription medicines, or drug paraphernalia.
  • Items subject to export controls or sanctions.
  • Wildlife products or items made from endangered species (CITES-regulated materials).
  • Any item prohibited for import into the destination country.

4. Marketplace Compliance

You are solely responsible for ensuring your listings and selling activity comply with the Terms of Service and Seller Policies of Etsy and eBay. OjaLink provides tools to manage your listings but cannot guarantee that any listing will be accepted or remain active on a marketplace platform.

If a marketplace suspends or restricts your account, OjaLink is not liable for any resulting loss of sales or business. You should maintain direct relationships with your marketplace platform accounts and monitor your account health independently.

5. Shipping and Customs

When you purchase shipping labels through OjaLink (powered by Shippo), you are responsible for:

  • Ensuring the accuracy of all customs declarations, including declared value and item description.
  • Providing correct recipient addresses.
  • Packing items securely to prevent damage in transit.
  • Compliance with Nigerian export laws and the import laws of the destination country.
  • Any import duties, taxes, or customs fees payable by the buyer in their country.

OjaLink provides CN22/CN23 customs form generation as a convenience tool. You remain solely responsible for the accuracy of customs declarations. Making false customs declarations is illegal and may result in criminal liability.

6. Fees and Subscription

OjaLink charges a monthly subscription fee as set out in the Terms of Service (Section 4). OjaLink does not charge transaction fees or commissions on your marketplace sales.

Third-party fees (Etsy transaction fees, eBay final value fees, Shippo shipping costs, marketplace payment processing fees) are charged directly by those providers and are separate from your OjaLink subscription. You are responsible for understanding and accounting for all third-party fees.

7. Order Fulfilment Obligations

Once an order is received through a connected marketplace, you are obligated to:

  • Acknowledge and process the order within your stated processing time.
  • Pack and dispatch the item in accordance with your listed shipping timeframe.
  • Upload a valid tracking number where required by the marketplace.
  • Communicate promptly with buyers if there are any delays or issues.
  • Handle returns, refunds, and disputes in accordance with the marketplace's buyer protection policies.

Repeated failure to fulfil orders, excessive cancellation rates, or poor seller metrics on any connected marketplace may result in suspension of your OjaLink account.

8. Intellectual Property

By uploading product images and descriptions to OjaLink, you confirm you own or have the right to use all content uploaded. You grant OjaLink a non-exclusive, royalty-free licence to reproduce and transmit your product content solely for the purpose of publishing your listings to connected marketplaces and displaying them within the OjaLink Platform.

OjaLink will never use your product images or content for advertising, promotional, or other commercial purposes without your explicit consent.

9. Account Suspension and Termination

OjaLink may suspend or terminate your seller account if you:

  • Breach any provision of this Agreement or the Terms of Service.
  • Fail KYC re-verification when required.
  • Engage in fraudulent activity or misrepresentation.
  • Have your marketplace account suspended for policy violations that OjaLink determines create reputational or legal risk.
  • Fail to pay subscription fees when due.

Where possible, OjaLink will provide notice and an opportunity to remedy the breach before taking action. In cases of fraud or serious violation, suspension may be immediate.

10. Seller Support and Service Levels

OjaLink provides seller support via email at [email protected]. Response times vary by subscription plan:

  • Free / Starter: best effort, typically within 3 business days.
  • Growth: within 1 business day.
  • Pro: priority response, typically within 4 business hours, plus a dedicated account manager.

11. Changes to This Agreement

OjaLink may update this Seller Agreement to reflect changes in our platform, applicable laws, or marketplace requirements. We will notify you by email at least 14 days before material changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Agreement.

12. Governing Law

This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved as set out in Section 13 of the Terms of Service.
