These Terms of Service (“Terms”) govern your access to and use of the OjaLink platform (afrisell.io) operated by OjaLink Technologies Ltd, a company incorporated in Nigeria (“OjaLink”, “we”, “our”, or “us”). By registering for or using OjaLink, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

To use OjaLink, you must:

Be at least 18 years of age.
Be a resident of Nigeria or an African country.
Have a valid government-issued ID and pass our KYC verification process.
Hold or be eligible to hold a seller account on Etsy and/or eBay.
Agree to comply with all applicable laws and the terms of any marketplace platform you connect.

2. Account Registration and KYC

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

OjaLink requires identity verification (KYC) before you can connect a marketplace account. You must submit valid government-issued identification documents. Providing false or misleading information is grounds for immediate account termination.

3. The OjaLink Service

OjaLink provides a SaaS platform that helps African creators and artisans:

Manage their product catalogue and upload product images.
Connect their Etsy and eBay seller accounts via OAuth.
Publish, sync, pause, and manage product listings on connected marketplaces.
Receive and manage orders from connected marketplaces.
Purchase international shipping labels and generate customs documentation.
Access onboarding guidance and seller resources.

4. Payment and Subscription

4.1 Subscription Plans

OjaLink offers the following subscription plans:

Free: $0/month — 1 marketplace, up to 10 products.
Starter: $15/month — 3 marketplaces, up to 50 products.
Growth: $40/month — all marketplaces, unlimited products, analytics.
Pro: $100/month — everything in Growth, plus API access and priority support.

4.2 Billing

Subscriptions are billed monthly in advance. You authorise OjaLink to charge your payment method on file on each billing date. Prices are in United States Dollars (USD).

4.3 No Transaction Fees

OjaLink does not charge transaction fees or commissions on your sales. Revenue from sales made on Etsy or eBay is paid directly by those platforms into your own marketplace account. OjaLink never holds, processes, or transfers seller funds.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not issue refunds for partial months. Downgrading to a lower plan takes effect at the next billing date.

5. Marketplace Connections

When you connect your Etsy or eBay account to OjaLink, you grant us authorisation to access and manage your listings, inventory, and orders on your behalf using the permissions you approve during the OAuth flow. You retain full ownership of your marketplace account. OjaLink acts as an authorised service agent — we do not create marketplace accounts on your behalf.

You are solely responsible for ensuring that your use of OjaLink complies with Etsy's and eBay's respective Terms of Service, Seller Policies, and Listing Policies. OjaLink is not liable for any suspension or termination of your marketplace account.

6. Product Listings and Content

You warrant that all products and content you list through OjaLink:

Are lawfully owned or authorised for sale by you.
Do not infringe any third-party intellectual property rights.
Comply with all applicable laws (Nigerian, destination country, and marketplace rules).
Are accurately described — no misleading titles, descriptions, or images.
Are not prohibited items (counterfeit goods, weapons, controlled substances, etc.).

OjaLink reserves the right to remove any listing that violates these standards or that may expose OjaLink to legal liability, without prior notice and without refund.

7. Subscription Plan Limits

Each plan includes limits on the number of connected marketplaces and active products. If you exceed your plan limit, you must upgrade to continue creating new listings. Existing listings are not removed when you downgrade, but you will not be able to create new ones beyond your plan limit.

8. Prohibited Conduct

You agree not to:

Use OjaLink for any unlawful purpose or in violation of these Terms.
Attempt to gain unauthorised access to any part of the Platform or other users' accounts.
Reverse engineer, decompile, or attempt to extract the source code of the Platform.
Use the Platform to transmit spam, malware, or any harmful code.
Impersonate any person or entity or misrepresent your affiliation.
Scrape, crawl, or systematically extract data from the Platform without our written permission.
Resell or sublicense access to the Platform.

9. Intellectual Property

OjaLink and its licensors own all rights to the Platform, including software, trademarks, logos, and content created by OjaLink. These Terms do not grant you any rights to use our intellectual property other than as necessary to use the Platform for its intended purpose.

You retain ownership of all content you upload to OjaLink (product images, descriptions, etc.). By uploading content, you grant OjaLink a non-exclusive, royalty-free licence to store, display, and transmit that content solely for the purpose of providing the Service.

10. Disclaimers and Limitation of Liability

OjaLink is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

OjaLink does not guarantee the accuracy of any listing published to Etsy or eBay, the uninterrupted availability of the Platform, or that any particular listing will result in a sale.

To the maximum extent permitted by applicable law, OjaLink's total cumulative liability to you arising out of or related to these Terms or the Platform shall not exceed the amount you paid to OjaLink in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless OjaLink Technologies Ltd and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your content, your breach of these Terms, or your violation of any third-party rights.

12. Termination

OjaLink may suspend or terminate your account at any time if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Platform ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap. A18, Laws of the Federation of Nigeria 2004.

14. Changes to Terms

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent Platform notice. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
